These terms are the contract between you and Ranella for using NotaFrog. Creating an account, paying for a plan, or using the site means you accept them. English is the controlling language. Related pages: Privacy, Refunds, Acceptable use.
What does this agreement cover?
Ranella provides NotaFrog as a hosted web app at www.notafrog.app. If you use NotaFrog on behalf of a school or company, you confirm you have authority to bind that organization, and “you” includes that organization.
We may update these terms. The date at the top is the version in force. If a change is material we will note it on the public Updates list. Continued use after that date is acceptance of the new terms.
What is NotaFrog?
NotaFrog turns speech into a transcript and a structured, editable note. You can record a meeting, upload a file, edit the note, share a read-only live-caption room, and put notes into a company or school workspace. It is not a conferencing product: there is one host microphone, viewers are read-only, and there is no voice dubbing.
We may change features, quotas, or providers as we run the product. We do not promise a particular uptime.
How do accounts work?
You need an email and password. Keep them secret. You are responsible for activity on the account. Tell us at hello@notafrog.app if you think someone else is using it.
You must be old enough to form a contract where you live, and at least 13. School workspaces are for institutions that already have permission to handle student work.
We may suspend or close an account that breaks these terms or the acceptable use policy, or that we reasonably believe is a risk to other users or to the service.
How do plans and payment work?
There are four plans: Free, Lite, Pro, and Team. Current prices and quotas are on the pricing page. Paid plans are prepaid by Vietnamese bank transfer (VietQR via SePay). There is no card on file and no automatic renewal. A new term starts when a new transfer is matched to your account.
Minutes and translation credits reset with the plan’s term, not as a cash balance. Unused minutes are not paid out. Money refunds follow the refund policy.
Do you need consent to record?
Yes. If you record or upload audio that includes other people, you must have the legal right to do so — consent, a workplace policy, a classroom rule, or another lawful basis that applies where you record. NotaFrog does not obtain that consent for you. Breaking this rule is a breach of these terms.
Who owns the notes?
You keep the rights you already have in your audio and notes. You grant Ranella a limited licence to host, process, transcribe, summarise, display, and back up that content so we can provide the product, including sending audio to speech-recognition and summary providers described in the privacy policy.
We do not claim ownership of your notes. We may use de-identified, aggregated usage information to run and improve the service.
NotaFrog, the note-wave mark, and the site design are Ranella’s. You may not copy the product, scrape it at scale, or present it as someone else’s.
Is a transcript a reliable record?
No. Automatic transcription and AI cleanup make mistakes, including confident-looking wrong words, missed speakers, and lost tone. A NotaFrog note is a draft to edit, not a certified record, not legal or medical advice, and not a substitute for a human minute-taker where accuracy matters.
You are responsible for checking anything you circulate, rely on, or archive.
Third-party services
Sign-in, hosting, transcription, summaries, analytics, and bank-transfer checkout are provided by other companies listed in the privacy policy. Their outages or errors can affect NotaFrog. Their terms apply to their part of the stack.
What are the limits of liability?
The service is provided “as is”. To the fullest extent allowed by Vietnamese law, Ranella disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Ranella is not liable for lost notes, missed decisions, inaccurate transcripts, lost profits, or indirect or consequential loss. Where liability cannot be excluded, Ranella’s total liability for a claim is limited to the amount you paid us for NotaFrog in the 3 months before the claim, or VND 500,000 if you were on the Free plan.
Nothing in these terms excludes liability that Vietnamese law does not allow us to exclude (for example, fraud, or death or personal injury caused by negligence, where that rule applies).
How does this agreement end?
You can stop using NotaFrog at any time. Paid terms are prepaid and do not auto-renew. We can stop providing the service or close an account as set out above. After closure, we delete or anonymise personal data as described in the privacy policy, except records we must keep for accounting or law.
What law governs these terms?
These terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law rules. Courts in Vietnam have exclusive jurisdiction, except that Ranella may seek injunctive relief elsewhere to protect the service or intellectual property.
If a clause is unenforceable, the rest remains in force. These terms, plus the privacy, cookie, refund, and acceptable-use pages, are the whole agreement for using NotaFrog.
